Advisory
Know exactly what you're buying — or selling — before you sign.
Technical due diligence is a third-party assessment of a codebase, infrastructure, and engineering team — for transactions where technical quality materially affects the deal. We give investors and acquirers the honest picture they need.
What you get
- A written due diligence report: code quality, security, architecture, infrastructure, team assessment
- Critical findings flagged separately — the issues that affect deal structure or valuation
- A scalability assessment: can the system handle the growth the deal assumes?
- Security and compliance findings: the risks that create liability after a deal closes
- Technical debt quantification: what rework will be required and at what cost
- A 90-minute walkthrough call to discuss findings and their deal implications

What we cover
Code quality assessment
We review the actual code, not the README. Architecture patterns, test coverage, dependency risk, documentation quality, and maintainability — each rated by severity.
Security review
Authentication implementation, secrets handling, input validation, dependency vulnerabilities, access control, and data handling — the issues that create liability after a deal closes.
Infrastructure and scalability
Cloud architecture, redundancy, deployment practices, database setup, monitoring coverage. Can this system handle the growth the deal assumes?
Technical team assessment
Team composition, engineering practices, documentation quality, bus factor risk, and the processes in place. A codebase is only as good as the team that maintains it.
Technical debt quantification
What rework is required, how much will it cost, and what's the risk of not doing it? We give you numbers that can inform deal structuring, not vague 'there is some debt' language.

How we work
01
NDA and access (Days 1–2)
We sign an NDA before receiving any access. Read-only access to the codebase, infrastructure credentials or diagrams, and a call with the target company's technical team.
02
Deep technical review (Days 3–8)
We work through the codebase, infrastructure, security posture, and engineering documentation. Critical findings are flagged immediately — we don't wait for the report.
03
Report delivery (Days 9–11)
Written report shared 24 hours before the walkthrough. Critical findings, severity ratings, technical debt cost estimates, and deal implications — clearly separated.
04
Walkthrough (Days 11–14)
90-minute call to work through findings, answer questions, and discuss what each finding means for deal structure, price, or conditions.
