Terms of Service

What we do
Zerokai provides software development services - including web development, mobile app development, infrastructure, and architecture consulting - to clients under agreed project scopes.
These terms apply to all work we carry out for clients, whether under a fixed-price project, a monthly retainer, or a standalone audit engagement.
Starting a project
Work begins only after a written agreement - confirmed by email or a signed contract - that specifies the project scope, timeline, and price. Nothing is built speculatively or on the assumption of future payment.
We reserve the right to decline any project at our discretion, before or after an initial conversation.
Payment
All prices are in USD unless otherwise agreed in writing.
- Fixed-price projects - Invoiced in milestones. Typically 50% on project kick-off and 50% on delivery. Milestone structure is agreed before work begins.
- Engineering Retainer - Billed monthly in advance. The first invoice is due before the engagement starts.
- Architecture Audit - Full payment due before the audit begins.
Late payments (beyond 14 days of invoice date) may result in work being paused until the balance is cleared.
What you own
You own all source code, designs, and digital assets we produce specifically for your project. Ownership transfers to you upon receipt of final payment.
We retain no ongoing license to your work after handoff. We will never use your codebase, designs, or business logic for another client.
With your written permission, we may reference the project type (e.g., "a fintech mobile app") in our portfolio - never the client name, brand, or specific business details.
What we own
Generic utilities, libraries, and internal tooling that we developed before or independently of your engagement remain our intellectual property.
If any such pre-existing code is included in your delivered project, we grant you a perpetual, royalty-free licence to use it within that project.
Confidentiality
Both parties agree to keep each other's confidential information private. Confidential information means anything shared that is not publicly available and would reasonably be understood to be sensitive.
We will not share your project details, business model, technical architecture, or unreleased product information with any third party without your written consent.
You agree not to share our proprietary development processes, internal tooling, or any information we share under NDA.
If required by law, we may be obliged to disclose certain information. We will notify you promptly in such circumstances where legally permitted to do so.
Warranties and liability
We build with care and take pride in the quality of our work. However, all software has edge cases and the potential for bugs.
- Fixed-price projects include 30 days of post-launch bug fixes at no additional charge, for defects present at the time of delivery.
- We are not liable for indirect, consequential, or incidental damages - including lost revenue, data loss, or business decisions made on the basis of software we delivered.
- Our total liability for any claim arising from an engagement is capped at the amount paid for that engagement.
Termination
Either party may terminate an Engineering Retainer with 7 days' written notice. No refund is issued for the current billing period.
Fixed-price projects may be paused or cancelled by the client at any time. Payment is due for all work completed to the point of cancellation, assessed at an agreed day rate.
We reserve the right to terminate any engagement if payment is overdue by more than 30 days, or if the client acts in a way that breaches these terms or is harmful to our team.
Governing law
These terms are governed by the laws of India. In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation before pursuing any formal legal process.
If negotiation fails, disputes will be resolved through binding arbitration under applicable Indian arbitration rules.
Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top of this page will reflect any changes. Updated terms apply to all new engagements from the date of publication.
For active engagements, the terms in force at the time of the written agreement apply.
